Pre-Incorporation Strategy

Terms and Conditions and other Agreements

You have developed a product or service and are ready to sell to the general public - congrats! At this point you need a terms and conditions agreement with your clients that takes into account the following questions and more:

  1. What are the payment terms?
  2. What will you provide (and not provide) to the client?
  3. What are the client's responsibilities?
  4. If a client sues you, will that be in court in your home state or arbitrated in the client's state?
In addition to the agreement between you and your client, you also need a Terms of Use and Privacy Policy for your website. The Terms of Use is the agreement between your business and any visitor to the website. Your Privacy Policy may need to comply with the California Consumer Protection Act or the General Data Privacy Regulation, or not.

Trademark and Other Intellectual Property

After brainstorming and researching you have come up with the perfect brand name and secured the domain. This is no small feat.

London Law will perform due diligence worldwideto ensure that your brand is available in your sector. We will file for trademark protection in the U.S. via the United States Patent and Trademark Office (USPTO) and internationally.

In the US and Canada, priority goes to the first business to use the mark "in commerce" - in connection with goods or services available to the general public, rather than the first business to file their trademark application; there are important strategic considerations here. While I am not a patent attorney, I work closely with them and can refer one of good standing to supplement my services if need be.

You immediately acquire (limited) common law copyright protection as soon as you "put pen to paper." London Law can help you get more robust protection via a filing with the US Copyright Office.
Employment Law

There is a myriad of federal, state and local employment laws to consider when onboarding new employees and contractors, including but definitely not limited to:

  1. Is your new hire properly classified as an employee or independent contractor under California's AB5, aka the Gig Workers Law? (The new ABC test makes it more difficult to legally hire someone as an independent contractor.)
  2. Which employees should be designated exempt or non-exempt from overtime requirements?
  3. What kind of equity compensation should a key hire be offered - stock options, stock grants, phantom stock - and what is the vesting schedule?
